Leadership and Governance
Being Human USA is guided by a committed board of directors who hold the organization accountable to its mission, its community, and the people it serves. Good governance is not a formality for us. It is how we earn and keep the trust of everyone who donates to, volunteers with, and relies on this organization.
Board of Directors
The organization is managed by a board of directors consisting of at least three members. Each director must be at least eighteen years of age. Directors are elected at the annual meeting of the board and serve until their successors are elected and qualified. The board has the authority to fill vacancies, adjust its size by majority vote, and remove directors for cause, including misconduct, misrepresentation, or failure to fulfill the duties required by the board.
Officer Roles
President
The President serves as the chief executive officer of the organization. The President presides over all board meetings, oversees the general management of the corporation, and ensures that every decision and resolution of the board is carried out. The President also countersigns authorized contracts and financial documents.

Vice President
The Vice President supports the President and assumes full presidential authority during the President’s absence or disability. The Vice President also carries out additional responsibilities assigned by the board as the organization’s work requires.

Treasurer
The Treasurer is responsible for the care and custody of all funds and securities of the organization. The Treasurer maintains banking relationships, signs authorized financial documents, keeps financial records open to review by any director, and presents a full financial report at the annual board meeting. An independent audit of the organization’s accounts is conducted at the close of each corporate year.

Secretary
The Secretary keeps the official minutes of all board meetings, maintains the custody of the organization’s seal, handles official correspondence and notices, and manages the records and documents of the corporation as directed by the board.

How We Govern
The board holds a regular annual meeting and may convene special meetings as needed. A majority of the full board constitutes a quorum for conducting business. Each director present carries one vote. The president may call special meetings with three days notice to all directors, and any two directors may jointly request a special meeting in writing. The board may also designate an executive committee or other working committees from among its members to support specific areas of the organization’s work.
Committees
The board has the authority to establish an executive committee and other standing or ad hoc committees, each consisting of three or more directors. These committees serve at the pleasure of the board and are designed to allow the organization to move efficiently on specific tasks while maintaining full board oversight.

Being Human USA is organized exclusively for charitable purposes under section 501(c)(3) of the Internal Revenue Code. No part of the organization’s earnings benefits any private individual. Our bylaws are clear: the mission comes first, always. We hold every officer, director, and volunteer to high standards of integrity and ethical conduct.
